Terms of Service

1. Agreement
These Terms of Service ("Terms") are a contract between you and Thesis Trading AI ("we," "us," "the platform"). By creating an account, submitting a founding inquiry, or using the platform, you accept these Terms, the Privacy Policy, the Investment Disclaimer, and the Community Guidelines, all of which are incorporated by reference.
2. Eligibility
The platform is offered only to United States residents who are at least 18 years old. It is not directed at, and may not be used from, any jurisdiction outside the United States (including the United Kingdom and the European Union). We may verify residency and may suspend accounts that misrepresent it.
3. Accounts
You sign in through our identity provider using email, Google, or Apple. You are responsible for safeguarding your sign-in and for everything that happens under your account. Organization plans include seats administered by the organization's admins; the admin controls membership and certain policies (including whether members may participate in public communities).
4. Subscriptions and billing
- Every account is paid. There is no free tier. Plans, seat counts, and current pricing are presented at checkout, billed through Stripe, and renew automatically until cancelled.
- Cancellation stops future renewals; access runs through the end of the paid period. Fees already paid are non-refundable except where required by law.
- AI usage beyond plan allowances is metered and passed through at cost on your invoice, subject to the spend caps shown in your account.
- We may change pricing with notice effective at your next renewal.
5. What the platform is — and is not
The platform is analytical tooling: it records theses, simulates management styles, grades outcomes, and hosts communities. It is not investment advice, and we are not a registered investment adviser or broker-dealer. Signals, verdicts, grades, and simulated outcomes are analytics, not recommendations. The platform does not place, modify, or cancel live orders on its own — every live order action is an explicit human click by you, in your own brokerage account. AI agents can draft; only you can send. If we ever offer automation features, they will be strictly opt-in, separately disclosed, and governed by additional terms. See the Investment Disclaimer.
6. Brokerage connection
- Live trading features connect to your own account at a supported broker through the broker's authorization (OAuth) flow. We store only the resulting access tokens (encrypted); we never ask for, store, or automate entry of your brokerage username, password, or two-factor codes.
- We are not your broker. Your relationship with your broker is governed by your agreement with them, and market data displayed in the platform is subject to their entitlements.
7. Your content and communities
You own the content you create — theses, journal entries, posts, and published research. You grant us a non-exclusive, worldwide license to host, display, and distribute it as needed to operate the platform (including to the audiences you choose: a community, subscribers, or the public). Community behavior is governed by the Community Guidelines.
8. Automated moderation, suspensions, and conduct fines
Moderation is automated by design. Violations of the Community Guidelines accrue strikes; strikes trigger escalating automatic suspensions. Two tracks apply:
- Conduct violations (hostility, spam, and similar) result in timed suspensions that expire on their own. A suspended account may optionally pay a conduct reinstatement fine to restore access early. Fines start at $500 and escalate steeply with repetition; the schedule in effect is shown before payment. Paying a fine is always optional — waiting out the suspension is free.
- Trust violations — scams, fraud, solicitation of funds, impersonation, coordinated manipulation — result in permanent, non-appealable termination. There is no fine, reinstatement path, or refund for trust violations.
9. Creator program
- Operating a paid community requires acceptance into the creator program: application and approval at our discretion, a probation period, and ongoing audits of published track records and conduct.
- Eligibility requires six months of paid membership in good standing, unless waived at our discretion.
- Creator subscription revenue is shared between the creator and the platform, with the majority going to the creator, paid out through Stripe Connect. The rate in effect is stated in the creator agreement at acceptance. Platform base subscription fees are never offset against creator earnings.
- We may suspend or remove a creator for guideline violations, track-record misrepresentation, or audit failures; earned but unpaid revenue for completed periods is paid out except where the removal is for fraud.
10. Content protection
Paid content may carry visible notices and invisible forensic watermarks that identify the receiving account. Republishing paid content outside its intended audience is a violation of these Terms and, where the content is a creator's, of their rights. You may not remove, obscure, or attempt to defeat watermarking.
11. Research data
As disclosed in the Privacy Policy, we build aggregated, anonymized research datasets from platform activity and license them to third parties. Aggregates never identify you and are subject to minimum-population thresholds. Data from Enterprise and Platform tier organizations is excluded entirely.
12. Acceptable use
- No scraping, bulk export, or redistribution of market data or platform analytics.
- No reverse engineering, automated account creation, or circumvention of access controls, rate limits, or watermarking.
- No use of the platform to provide investment advice to others for compensation unless you are appropriately licensed and it is permitted by the creator program terms.
13. Disclaimers and limitation of liability
The platform is provided "as is" without warranties of any kind. Trading stocks, options, and futures involves substantial risk of loss. To the maximum extent permitted by law, our total liability for any claim is limited to the amounts you paid us in the twelve months before the claim arose, and we are not liable for trading losses, lost profits, or indirect or consequential damages. You will indemnify us against claims arising from your content or your violation of these Terms.
14. Dispute resolution
These Terms are governed by California law.
15. Roadmap and forthcoming features
Descriptions of planned or forthcoming functionality — on this site, in the platform, or in our communications (for example: additional instruments such as futures, additional membership tiers, or roadmap items) — are statements of intent, not commitments. They are provided for information only, do not form part of the service you are purchasing, and may change in scope or timing or be cancelled entirely. Your subscription buys the platform as it exists during your paid period.
16. Termination and changes
You may close your account at any time. We may suspend or terminate accounts as described in Section 8, or for non-payment or violation of these Terms. We may amend these Terms with notice; continued use after the effective date is acceptance.
